These terms and conditions apply to the CMia360 website and to all other sites, mobile sites, services, applications, platforms and tools where these terms and conditions appear or are linked (collectively, the Site). As used in these terms and conditions, CMia360, Web, Site or We refers to CMia360 and its subsidiaries and affiliates, where they are linked and/or exist. CMia360 CMia360 (hereinafter: CMia360) is a technology company that offers services related to electronic commerce and digital payments. The services offered by CMia360 on its website and mobile applications (hereinafter: Site) are designed to form an ecosystem that allows people to sell, buy, pay, deliver products and carry out other commercial activities with applied technology (hereinafter: CMia360 Ecosystem). INTRODUCTION By accessing the Site, the user is conditioned upon the prior reading and acceptance of the terms, conditions, communications, warnings, legal notices and other information contained as a whole in these Terms and Conditions. Access is free of charge, viewing it does not require any prior subscription or registration, and its use by the user implies express, full and unreserved agreement with all of its content. Any person or entity that interacts with the Site through the use of crawlers, robots, browsers, data mining or extraction tools, or other functionality, whether such functionality is installed or placed by that person or entity or by a third party, is considered to be using the Site. If at any time you do not accept all of these Terms and Conditions, you must stop using the Site immediately. Certain areas within the Site may be governed by additional terms and policies (Additional Terms). By using those areas of the Site, you accept the Additional Terms. The Additional Terms are incorporated into these Terms and Conditions, and any reference to these Terms and Conditions includes the Additional Terms. CMia360 may modify this Site unilaterally and at any time it deems appropriate, updating its configuration, the terms and conditions of the services and their content, or removing, limiting or suspending them temporarily or permanently, as well as preventing access to them, seeking to inform the user of such change where circumstances allow, through publication on the website. For this reason, users are advised to review the Privacy Policy, the Return Policy, the Shipping Fees, the Legal Notices and the particular conditions set out on the various pages of the website each time they access the Site. REGISTRATION AND USER ACCOUNT To use our services, the user must complete the registration form with the required data. In completing it, the user agrees to do so accurately, precisely and truthfully, and to keep the data always up to date. The user is solely responsible for the accuracy of the registration data. Without prejudice to the information provided in the form, we may request and/or consult additional information to corroborate the identity of each user. Additionally, a valid payment method must be associated with the account. If there is a problem charging the selected payment method, we may charge any other valid payment method associated with the account. The account is personal, unique and non-transferable, meaning that under no circumstances may it be sold or assigned to another person. It is accessed with the personal security password chosen by the user, which must be kept strictly confidential. The commercial user within the CMia360 Ecosystem may create Collaborator Accounts and define their access permissions. In any case, the user is solely responsible for the operations carried out in the account. If unauthorized use of the account is detected, the user must notify CMia360 immediately and reliably. We may reject a registration request or cancel a registration already accepted, without this giving rise to any compensation. Users who have been previously disabled may not register again on the Site. Nor may those who are included in or related to persons included in national or international sanctions lists register. In addition, if we detect the use of more than one account and/or improper use of the account, we may apply holds, debits and/or any other measure if we consider that such conduct may harm the rest of the people using the Site or CMia360, beyond any sanctions that may apply. CAPACITY Our services may be used by adults who have legal capacity to enter into contracts. Anyone who uses the CMia360 Ecosystem on behalf of a company must have the capacity to contract in its name. In addition, to be able to use the account, the user must be active, registered and, for some services, confirmed. By registering you confirm that you are 18 years of age or older. COMMUNICATIONS AND DIGITAL SIGNATURES The consent to and disclosure of electronic signature apply to all communications, as defined below, for the services provided by CMia360 and its affiliates. Communications you receive from us in electronic form will be considered in writing. By using the electronic and online services of CMia360, you accept the terms of these services. If you decide not to give your consent or withdraw your consent, your use of the electronic services will be restricted. A. Type of communications. Our communications may include, among others: disclosures and communications we provide regarding our services or the third-party services offered through the Site, such as (i) terms and conditions and all types of communications, digital and printed, of a promotional nature about CMia360, its brands and units, privacy statements or notices and any changes to them; (ii) pre-payment disclosures, transaction receipts and confirmations; and (iii) customer service communications. B. Updating your information. It is your responsibility to keep your primary email address up to date so that CMia360 can communicate with you electronically. You understand and agree that if CMia360 or any of its affiliates sends you a communication but you do not receive it because your registered primary email address is incorrect, out of date, blocked by your service provider or otherwise unable to receive electronic communications, CMia360 will consider that it has provided the communication to you; however, we may consider your account inactive. You may not be able to make transactions using our online services until we receive a valid and functional primary email address. C. Compliance with applicable law. You acknowledge and agree that your consent to electronic communications is given in connection with a transaction affecting commerce and subject to the United States federal law on electronic signatures, and that both you and we intend such law to apply to the fullest extent possible to validate our ability to do business with you by electronic means. D. Termination and changes. We reserve the right, at our sole discretion, to discontinue the provision of your communications, or to terminate or change the terms and conditions under which we provide communications. We will provide you with notice of such termination. DATA PRIVACY At CMia360 we make responsible use of personal information, protecting the privacy of the users who entrusted us with their data and taking the necessary measures to guarantee security in our Ecosystem. Learn more in our Privacy Policy. SMS MARKETING PRIVACY POLICY We take your privacy very seriously and are committed to protecting your personal information. This policy describes how we collect, use and protect personal data in connection with our SMS marketing campaigns. 1. Information collection. When you subscribe to our text message service, which you agree to subscribe to and opt into during the purchase process, we collect your mobile phone number and, in some cases, your name to personalize the messages. 2. Use of information. We use your phone number exclusively to send you promotional messages, updates, special offers or other relevant information related to our products or services. 3. Consent. By providing your phone number, you agree to receive text messages from us. You may opt out of receiving further messages at any time by replying with the word STOP or following the instructions provided in each message, or by writing to the contact email in the footer. 4. ACCESS TO OTHER COMMERCIAL INFORMATION In addition to the provisions of the previous sections, CMia360 provides tools, applications and services based on other commercial information provided by users and/or generated by using the Ecosystem services, to help sellers optimize their sales, increase their volume and manage their business. We may also use it to offer users promotions, products and services from other companies or co-branded. SANCTIONS If the user breaches a law or these Terms and Conditions, we may warn, suspend, restrict or disable the account temporarily or permanently, without prejudice to other sanctions established in the particular usage rules of the CMia360 services. COPYRIGHT AND INTELLECTUAL PROPERTY RIGHTS All content included on the Site, such as text, graphics, logos, images, audio clips, video, data, music, software, application updates and other material (collectively, the Content) is owned by or licensed to CMia360, its suppliers, the suppliers of its Stores or its licensors, and is protected by copyright, trademark, patent or other property rights. The collection, arrangement and assembly of all the Content on the Site is the exclusive property of CMia360 and is protected by United States and international copyright laws. CMia360 and its suppliers and licensors expressly reserve all intellectual property rights in all Content. Without the express consent of CMia360, it is not permitted to extract or reuse any part of the content of any of the CMia360 services, nor is it permitted to use search and data extraction tools on substantial parts of the CMia360 services for reuse. Nor is it permitted, without the express consent of CMia360, to create or publish your own databases when these contain substantial parts of any of the services provided by CMia360. LICENSE AND ACCESS Subject to compliance with these Terms and Conditions and the general conditions of the applicable services, as well as payment of the applicable price where relevant, CMia360 or its partners and/or product and service providers (the Stores) grant you a limited, non-exclusive, non-transferable and non-sublicensable license to access and use the CMia360 services for personal, non-commercial purposes. This license does not include any right to resell or make commercial use of the CMia360 services or their content, nor any right to compile or use any list of products, descriptions or prices. Nor does it include the right to make any derivative use of the CMia360 services or their content, nor to download or copy any account information for the benefit of another company, nor the use of search and data extraction tools or robots or similar. CMia360 and its licensors, suppliers, publishers, Stores, rights holders or other providers of products and/or services reserve any right not expressly included in these Terms and Conditions or in the additional conditions of the services. You are only permitted to use the CMia360 services lawfully. Any breach of these conditions of use or of the general conditions of the services will void the permission or license granted by CMia360. TRADEMARKS The trademarks or trade dress of CMia360 may not be used in connection with any product or service that does not belong to CMia360, nor in any way likely to cause confusion among users or that may disparage or discredit CMia360. The other trademarks that are not owned by CMia360 and that appear included or are available through the CMia360 services belong to their respective owners. The reproduction, duplication, copying, sale, resale or exploitation and public communication of all or part of the CMia360 content for commercial purposes on any medium and by any technical means without the express written authorization of CMia360 are expressly prohibited. It is prohibited to link or use software or any device, technology or automatic algorithm to crawl, scrape, search or monitor this Site and/or retrieve or copy related content or information. Nor is it permitted to use framing techniques to introduce any trademark, logo or other copyright-protected information of CMia360 without the corresponding prior written consent, nor to use meta tags or any other hidden text that uses the names or trademarks of CMia360 without prior written consent. WEB FEATURES AND NAVIGABILITY a) Adaptive web design. The CMia360 Web has a responsive design that allows the customer to access from different devices, adapting the image and resolution of the page to each device. b) Account sign-up. There is a registration, accessed in the MY ACCOUNT section, that the user completes with the required data and with acceptance of the legal notice in order to access the online purchase services of CMia360. c) Profile data management through MY ACCOUNT, where the user can: i. manage their personal data; ii. add recipients; iii. check available credit or bonuses; iv. manage orders; v. view products added to FAVORITES. RIGHTS AND OBLIGATIONS OF THE SERVICE PROVIDER CMia360 is obligated to provide the services offered on the web and to guarantee the communications that may exist with the customer, as well as to respond to the claims and queries that may arise. CMia360 has the right to temporarily suspend, without prior notice, access to the web, as well as to reserve the right to provide or cancel the services, in the event of maintenance, repair, update or improvement operations. The intellectual property rights over the website belong to CMia360. DISCLAIMER OF WARRANTIES AND LIABILITY FOR THE OPERATION OF THE WEBSITE CMia360 undertakes to work to maintain the continued availability of the web; but neither CMia360 nor its Stores guarantee the availability and continuity of the operation of the website and its services. Thus, any liability for damages of any nature arising from the lack of availability or continuity of the operation of the website and its services is excluded. CMia360 and its Stores make available to users the personal data privacy systems that prevent access to such data by third parties. CMia360 has implemented the necessary technical and organizational security measures to guarantee the integrity, confidentiality and availability of the personal data provided by the user. However, it does not control or guarantee the absence of viruses or other elements in the web content that may cause alterations in the user computer system, and it is exempt from any liability for the damages that may be due to their presence. CMia360 and its Stores have no obligation to control, and do not control, the use that users make of the Site, its services or its content; nor do they have the obligation to verify, and do not verify, the identity of the users or the truthfulness of the data they provide about themselves or their recipients. The user accepts that the website has been created and developed in good faith by CMia360 with information from internal and external sources, and that it is offered in its current state, which may contain inaccuracies or errors, for which the user exonerates CMia360 from any liability regarding the reliability, usefulness or false expectations that the website may produce during navigation. USER TRANSACTIONS If you wish to buy any product or service available through the Site, including items sold by CMia360 and items sold by the Stores within the CMia360 Ecosystem (each purchase, a Transaction), you may be asked to provide certain information relevant to your Transaction, including, without limitation, information about your payment method (such as the card number and expiration date), your billing address and your shipping information. By submitting such information, you grant CMia360 the right to provide it to third parties in order to facilitate the completion of the Transactions initiated by you or on your behalf. COLORS CMia360 displays as accurately as possible the colors of the products shown on the Site; however, it cannot guarantee that the display of any color on your monitor is accurate. AVAILABILITY, ERRORS AND INACCURACIES If an item is out of stock, CMia360 or its Stores may, at their sole discretion and at no additional cost to you, substitute the out-of-stock item with another if they determine that the identical brand and product is available in a form of equal or greater value. CMia360 and its Stores reserve the right to change or update information and to correct errors, inaccuracies or omissions at any time without prior notice. If we determine that there were inaccuracies in our product information, we may cancel your order and notify you of such cancellation by email or text message. CMia360 does not represent or warrant that the nutrition, ingredient, allergen and other product information on our site is accurate or complete, since this information is provided by the manufacturers or suppliers of the product and, at times, manufacturers may modify their products. We recommend that you do not rely solely on the information presented on our site and that you check the product label or contact the manufacturer directly if you have a specific dietary or product question. PROMOTION RULES Any sweepstakes, contest, raffle or other promotion (collectively, Promotions) available through the Site may be governed by rules independent of these Terms and Conditions. If the rules of a Promotion conflict with these Terms and Conditions, the rules of the Promotion will apply. RETURNS If you are not completely satisfied with the purchase of items sold in the services offered by CMia360, you must refer to the CMia360 Return Policy. If you are not satisfied with the purchase of items sold by a CMia360 Store, you must refer to the Return Policy of that Store specifically. The CMia360 Return Policy and that of each Store within CMia360 are incorporated into these Terms and Conditions in their entirety. CUSTOMER SERVICE The CMia360 Customer Service is available Monday to Friday from 9:00 a.m. to 5:00 p.m. (Eastern time) through the live chat on the site and the contact email shown in the footer. However, you may contact us through those channels at any other time and we will address your request as soon as possible. LINKS TO THIRD-PARTY WEBSITES The Site may contain links and interactive features that interact with third-party websites, including sites for identity verification, social media and product manufacturer sites. CMia360 is not responsible and has no liability for the functionality, actions, inactions, privacy settings, privacy policies, terms or content of such websites. Before enabling any sharing feature of the Site or visiting such websites, CMia360 strongly recommends that you review and understand the terms and conditions, privacy policies and settings of each third party. The links and interactive functionality for third-party sites on the Site do not constitute an endorsement by CMia360 of such sites. Your use of third-party websites and resources is at your own risk. INDEMNIFICATION AND DEFENSE As a condition of using the Site, you agree to defend, indemnify and hold harmless CMia360 and its respective employees, directors, officers, agents, sellers and suppliers from and against any liability, loss, investigation, claim, demand, damages, costs and expenses (including, without limitation, reasonable attorney fees and expenses) arising from or related to claims alleging facts that, if true, would constitute a breach by you of these Terms and Conditions, or any user content submitted by you. GOVERNING LAW AND JURISDICTION The Terms and Conditions of this website are governed by the laws of the State of Florida, United States. If any user or affected third party considers that there are facts or circumstances that reveal unlawful conduct, they must send us a communication containing: the complete personal details of the claimant (name, surname, address, phone and email); a detailed specification of what the alleged unlawful content or unlawful use of content consists of, and whether they own the content allegedly used unlawfully; and, where it concerns an alleged harm to goods or rights subject to compensation, the precise indication of the protected content and its location on the Web. The claimant must send the corresponding supporting documentation to CMia360 through our customer service channels. Anonymous communications will not be accepted as sufficient notification to make CMia360 aware of the unlawfulness of content or activities.
